2. Definitions

• Promoter: A user who promotes products listed on Kickback and earns commission on sales made through their unique referral links.
• Product Owner: A user who lists products on Kickback and pays commission to Promoters for successful referrals.
• Commission: The percentage or fixed amount paid to a Promoter for each successful sale made through their referral link.
• Referral Link: A unique URL assigned to a Promoter that tracks sales attributed to their promotional efforts.

3. Account Registration

To use Kickback, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Provide accurate, complete, and current information during registration
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. For Promoters

4.1 Earning Commission

Promoters earn commission on qualifying sales made through their unique referral links. Commission rates are set by Product Owners and displayed on each product listing. Commission is earned when a sale is confirmed and any applicable refund period has passed.

4.2 Promotional Guidelines

When promoting products, you must:

• Clearly disclose your affiliate relationship in accordance with applicable advertising laws (e.g., FTC guidelines, ASA rules)
• Not make false, misleading, or unsubstantiated claims about products
• Not use spam, unsolicited messages, or deceptive practices to drive traffic
• Not bid on Product Owner brand names in paid search advertising unless explicitly permitted
• Not use cookie stuffing, click fraud, or other manipulative techniques
• Comply with the terms of any platform where you promote (e.g., TikTok, YouTube, Instagram)

4.3 Payouts

Commission payouts are processed via Stripe. You must connect a valid Stripe account to receive payments. Minimum payout thresholds and payment schedules are displayed in your dashboard. We reserve the right to withhold payment pending investigation of suspected fraudulent activity.

5. For Product Owners

5.1 Listing Products

Product Owners may list products for promotion on Kickback. You are responsible for setting commission rates, providing accurate product information, and fulfilling all orders generated through the platform.

5.2 Commission Obligations

By listing a product, you agree to pay the stated commission on all qualifying sales made through Promoter referral links. Commission is calculated based on the sale price excluding taxes and shipping. Refunded orders do not qualify for commission.

5.3 Product Requirements

Products listed on Kickback must:

• Be legal to sell in all jurisdictions where they are offered
• Not infringe on any third-party intellectual property rights
• Be accurately described with no misleading claims
• Comply with all applicable consumer protection laws

6. Prohibited Activities

You may not use Kickback to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorised access to our systems
• Engage in fraud, money laundering, or other financial crimes
• Harass, abuse, or harm other users
• Manipulate tracking, analytics, or attribution systems
• Create multiple accounts to circumvent restrictions or limits

7. Intellectual Property

The Kickback platform, including its design, code, logos, and content, is owned by Ulk Ltd and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Product Owners retain ownership of their product listings and associated intellectual property. By listing on Kickback, you grant us a licence to display and promote your products on the platform.

8. Disclaimers

Kickback is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

We are not responsible for the quality, safety, or legality of products listed by Product Owners, or for the promotional methods used by Promoters. Transactions are between Product Owners and their customers.

9. Limitation of Liability

To the maximum extent permitted by law, Ulk Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of Kickback.

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the fees paid by you to us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Ulk Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of Kickback, your violation of these Terms, or your violation of any rights of a third party.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the platform. Continued use of Kickback after changes become effective constitutes acceptance of the revised Terms.

12. Termination

You may close your account at any time through your account settings. We may suspend or terminate your account for violation of these Terms, fraudulent activity, or at our discretion with reasonable notice.

Upon termination, any pending commissions that have cleared the refund period will be paid out. Commissions for pending or refunded transactions will be forfeited.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of Kickback shall be subject to the exclusive jurisdiction of the courts of England and Wales.
